Developer Terms of Service
Owner and Relationship. 3plains LLC (i.e. 3plains Software, 3plains Software & Hosting) is the software provider of the application service, software and the hosting provider. The 3plains Software Control Panel is owned by 3plains LLC.
Terms in this Document. Code - "3plains Software", "3plains Software Control Panel", "Software". Developer - Website company that builds websites "HTML code" & uses/modifies 3plains Software. Client - The company the developer builds a website for.
Developer Terms of Service. You are responsible for abiding by the rules set forth in the paragraphs below. Any violation of the terms set forth below may result in immediate suspension, termination of all services, and/or legal action.
Website/Database Data. The database raw data (i.e. ASCII text) is owned by the customer, but does not include database files (i.e. Microsoft Access, Microsoft SQL) or database structure (i.e. Microsoft Access tables, Microsoft SQL tables). If the customer decides to cancel or terminate their services, 3plains LLC or developer will export and provide text files for the customer as well as original photos. Customers (i.e. Clients of developers) are not entitled to the Microsoft Access Database. They are entitled to the raw data of the Database.
Downloaded Code. Any software or code downloaded by you from 3plains LLC does not in any way transfer title to the Software, or any intellectual property rights contained therein, to you. 3plains LLC owns the software even if it was modified by the developer.
Copyright to Web Pages "HTML Code". As a "developer" customer of 3plains LLC, you own the website "HTML code" that was developed by you or for your clients. This does not include "HTML Code" modifications to 3plains Software or the 3plains Software Control Panel.
Application Service Provider. The developer may not redistribute the code or attempt to use the code as an application service provider, unless 3plains LLC agrees upon the terms set by the developer and/or 3plains LLC in a signed document in which 3plains LLC has signed and agreed upon with the developer.
Redistribution. The developer may not redistribute (i.e. sell) the code or modified code in any form unless 3plains LLC agrees upon the terms set by the developer and/or 3plains LLC in a signed document in which 3plains LLC has signed and agreed upon with the developer.
Other Hosting Company. The developer may not take the code and install on another hosting company website unless 3plains LLC agrees upon the terms set by the developer and/or 3plains LLC in a signed document in which 3plains LLC has signed and agreed upon with the developer.
Modified Code. The developer may modify the code. However, the code is still owned by 3plains LLC and all rules are the same as set forth in this document.
Liability To Developer Built Websites. 3plains LLC shall not be liable for the loss of profits, loss of use, or incidental, consequential, or special damages that result from use of this data, hosting environment, developer mistakes, and the software since 3plains LLC cannot monitor "developers" and the "developers clients" work and use.
Revisions. 3plains LLC may at any time revise these Terms and Conditions by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the current Terms and Conditions to which you are bound.
Governing Law. The parties agree that this contract will be governed by Minnesota law and any legal proceeding regarding this contract will be brought exclusively in a court of competent jurisdiction in Minnesota.
